DualRates Terms of Service

1. Acceptance of Terms

By accessing or using DualRates (the "Service"), you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you are using the Service on behalf of a club, organization, or other legal entity (a "Club"), you represent that you have the authority to bind that entity to these terms.

2. Nature of the Service

DualRates provides a multi-tenant management platform and data processing service.

  • Platform Provider: DualRates provides the software, hosting infrastructure, and application logic.

  • Club Autonomy: Each Club is an independent entity that manages its own members, events, and data. DualRates is a neutral technology provider and is not responsible for the internal policies, financial transactions, or membership decisions of individual Clubs.

3. User Accounts and Authentication

  • Account Responsibility: You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

  • Unauthorized Use: You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

  • Third-Party Authentication: By using social media or third-party login services, you authorize DualRates to access and store profile information as permitted by those services and our Privacy Policy.

4. Data Ownership and Privacy

  • User and Club Content: Data entered into a Club's portal remains the property of the User or the Club. DualRates does not claim ownership of any content uploaded to the Service.

  • Processing: DualRates processes this data only to provide the Service.

  • Generated Reports: Any reports, documents, or data exports generated via the Service containing personal or financial information are the sole responsibility of the Club or User that initiated the generation.

5. Use License and Restrictions

Permission is granted to access DualRates for personal or organizational management purposes. Under this license, you may not:

  • Attempt to decompile, reverse engineer, or circumvent the security features of the application or the underlying database.

  • Use the Service for any unlawful purpose or to store prohibited content.

  • Attempt to bypass multi-tenant isolation or access data belonging to a Club or User for which you do not have explicit authorization.

6. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. DualRates makes no warranties, expressed or implied, regarding the continuous availability of the Service, the accuracy of data provided by third-party Clubs, or the suitability of the Service for specific legal or financial compliance requirements.

7. Limitations of Liability

In no event shall DualRates, its administrators, or its affiliates be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service, even if DualRates has been notified of the possibility of such damage.

8. Indemnification

You agree to indemnify, defend, and hold harmless DualRates and its officers from and against any claims, losses, or legal fees resulting from your violation of these terms, your misuse of the Service, or any disputes arising between a Club and its members.

9. Third-Party Links

Our Service may contain links to external sites or integrations with third-party providers. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services.

10. Modifications to Terms

DualRates reserves the right to revise these Terms of Service at any time without notice. By using this Service, you are agreeing to be bound by the then-current version of these Terms.

11. Governing Law

Any claim relating to DualRates shall be governed by the laws of your jurisdiction without regard to its conflict of law provisions.
